These Terms and Conditions ("Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and MEDIAMODIFIER OÜ ("ModifAI," "Company," "we," "us," or "our"). This Agreement governs your access to and use of the ModifAI platform, including all services, tools, applications, software, and related resources provided (collectively, the "Services"). By accessing or using the Services, you agree to comply with and be bound by this Agreement, our Privacy Policy, and any other applicable policies. If you do not agree, you may not use the Services.

1. Definitions

• Account: A unique user registration enabling access to restricted features.
• Content: Any and all data, documents, media, designs, templates, or intellectual property provided via the platform.
• Subscription: A paid plan providing tiered access to premium Services, including a monthly volume of Plan Credits.
• Platform: The digital infrastructure comprising web interfaces, APIs, and support tools that together form the ModifAI Service.
• Plan Credits: The monthly volume of credits included with each Subscription tier, consumed by generative and editing features.
• Extra Credits: On-demand credit packs that may be purchased by active subscribers to supplement their Plan Credits.
• Roll-over Credits: Remaining Plan Credits from a previous tier, kept available until the end of the current billing cycle following an in-cycle Subscription upgrade.
• Wallet: The user-facing balance combining Plan Credits, Extra Credits, and Roll-over Credits (when applicable), visible from the dashboard.
• Plan tier: The level of Subscription chosen by the User, determining the monthly volume of Plan Credits and the applicable price.

2. Acceptance of Terms

By accessing or using the Services, you confirm that you are legally able to enter into this Agreement and are not barred from doing so under any applicable laws. If you are using the Services on behalf of an entity, you represent that you are authorized to bind that entity.

3. Eligibility

You must be at least eighteen (18) years of age or the legal age of majority in your jurisdiction to create an Account. The Services are not intended for use by minors or individuals previously banned from the platform.

4. Account Registration and Maintenance

When you create an Account, you must provide accurate, complete, and current information. You agree to update such information promptly upon any change. You are solely responsible for the confidentiality and use of your login credentials. Unauthorized use of your Account must be reported to ModifAI immediately.

5. Subscription Services and Billing

5.1 — Credit-based system: ModifAI operates on a credit-based system. Each Subscription tier includes a monthly volume of Plan Credits used to access generative and editing features. Additional Extra Credits packs may be purchased on demand by active subscribers only.

5.2 — Subscription plans: ModifAI offers several Subscription tiers, available on a monthly or annual basis. Each tier grants a defined monthly volume of Plan Credits and full access to all features and AI models. The available tiers, their Plan Credits volumes and prices are displayed at checkout and on the Pricing page, and may vary by region or currency.

Plan Credits are reset at each subscription renewal and do not roll over.

5.3 — Trial Period: ModifAI may offer trial subscriptions granting a defined volume of Plan Credits and full access to all features and AI models for a limited period. The trial price, duration and included Plan Credits are displayed at checkout. Unless canceled before the end of the trial period, the trial converts automatically into a recurring Subscription at the then-applicable price.

5.4 — Billing cycles and currency: Subscriptions are billed monthly or annually depending on the cycle selected at checkout. The current prices for each Subscription plan are displayed during checkout and may vary depending on your region or currency. By subscribing, you accept the price displayed at the moment of purchase, which may be subject to Value Added Tax (VAT) or other applicable duties based on your jurisdiction.

5.5 — Extra Credits: Extra Credits are top-up packs purchased on demand by active subscribers, valid 180 days from purchase. They are consumed only after the User's monthly Plan Credits are depleted. If a User cancels their Subscription, any remaining Extra Credits are frozen (not lost) and recoverable upon reactivation within their 180-day validity window. Extra Credits are non-transferable.

5.6 — Payment Processor Authorization: By subscribing, you authorize ModifAI or its third-party processor to automatically charge your payment method on a recurring basis.

5.7 — Non-Payment and Chargebacks: Failure to remit payment may result in suspension or termination of your access. Chargebacks or reversed payments will be treated as a violation of this Agreement.

6. Refund Policy

6.1 — Subscription refund: ModifAI offers a 30-day money-back guarantee on the first paid Subscription billing. To be eligible, the User must have consumed no more than 10% of their monthly Plan Credits quota at the time of the request. If eligible, the refund is full. Refund eligibility applies only to the first paid Subscription billing; subsequent renewals are not eligible for automatic refund.

Beyond this threshold or outside the 30-day window, no automatic refund is granted.

An approved refund results in the immediate cancellation of the Subscription, loss of access to premium features, and the freezing of any remaining Extra Credits in the Wallet.

6.2 — Extra Credits refund: Extra Credits packs are eligible for a refund within 30 days from purchase, provided no credit from the purchased pack has been consumed. Partial refunds are not available.

6.3 — Trial refund: The trial subscription is not covered by the automatic refund policy. Exceptional cases are handled individually by ModifAI support team.

6.4 — How to request a refund: To request a refund, please contact our support team via our contact page, from the email address associated with your ModifAI account. If available, include your payment ID to help us process your request faster.

If you're unable to access the email linked to your subscription, kindly provide the following details so we can locate your payment:

• The last 4 digits of the card used
• The card's expiry date
• The exact date of the transaction

7. License Grant and Restrictions

Subject to your compliance with this Agreement, ModifAI grants you a limited, non-transferable, revocable, non-sublicensable license to access and use the Services solely for your internal business or personal purposes.

You shall not:

• Copy, modify, distribute, sell, or lease any part of the Services or Content;
• Reverse engineer or attempt to extract source code;
• Circumvent technological measures or security features;
• Permit third parties to access the Services using your credentials.

You may:

• Use the Content in any electronic or print media, provided that such use is not intended for re-selling, or re-distribution of the templates, animations and images.
• Use the Content in business, educational, and personal presentations.
• Modify or create derivative works from the Content, provided that such works are not intended to be re-sold as clipart, stock images, stock video, animations, e-cards, or included as part of a template or other graphical resource.
• Use the Content for any other uses approved in writing by MEDIAMODIFIER OÜ.

8. User Content and License to ModifAI

By uploading, submitting, or creating User Content on the platform, you grant ModifAI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to grant this license for all User Content you submit, and that such User Content does not violate any rights, including intellectual property rights, of any third parties. You are solely responsible for:

• The accuracy and legality of your User Content;
• Any consequences of sharing or publishing your User Content;
• Any claims related to your User Content.

ModifAI reserves the right, but not the obligation, to monitor, edit, or remove User Content that violates this Agreement or is otherwise objectionable, at our sole discretion and without notice.

You acknowledge that User Content may be processed by our AI systems to provide and improve the Services. This processing may involve analyzing, modifying, or learning from your User Content.

You may delete your User Content at any time, subject to technical limitations and reasonable retention periods. However, copies or derivatives may persist in backups or AI model training data.

9. Intellectual Property Ownership

All intellectual property rights in the Services, including but not limited to software, designs, logos, text, images, audio, video, and AI models, are owned by ModifAI or its licensors. Nothing in this Agreement transfers any such rights to you.

Feedback, suggestions, or ideas you provide regarding the Services may be used by ModifAI without any obligation to compensate you. You grant ModifAI a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without restriction.

10. Third-Party Services and Links

The Services may contain links to third-party websites or services that are not owned or controlled by ModifAI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that ModifAI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

11. Service Modifications and Availability

ModifAI reserves the right to modify or discontinue, temporarily or permanently, any portion of the Services, with or without notice. We make no guarantees regarding the uptime or availability of the Services and shall not be liable for interruptions or delays.

12. Term, Termination, and Account Deletion

This Agreement is effective upon your first use of the Services and continues until terminated. Either party may terminate this Agreement with or without cause. You may delete your account at any time by using the appropriate feature within your account settings.

Upon termination:

• All licenses granted herein will cease;
• Access to your Account will be revoked;
• Any accrued rights or liabilities shall survive termination.

13. Warranty Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ModifAI DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your specific requirements;
• The Services will be uninterrupted or error-free;
• Any stored data will be secure or free from loss.

14. Limitation of Liability

To the fullest extent permitted by law, ModifAI shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses.

ModifAI's total liability under this Agreement shall not exceed the greater of: (i) €100; or (ii) the total amount paid by you for the Services in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless ModifAI and its affiliates, directors, officers, employees, and agents from and against any and all claims, losses, liabilities, expenses, damages, and costs, including reasonable legal fees, arising out of or related to:

• Your breach of this Agreement;
• Your User Content;
• Your violation of any third-party rights;
• Your use or misuse of the Services.

16. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in [Jurisdiction] for any legal proceedings.

17. Force Majeure

ModifAI shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, labor strikes, internet outages, denial-of-service attacks, or acts of government.

18. Export Compliance

You acknowledge that the Services may be subject to applicable export control laws and regulations. You agree not to export, re-export, or transfer any part of the Services in violation of such laws, including to any embargoed country or individual on a government denied-party list.

19. Severability and Waiver

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force. Any failure by ModifAI to enforce a right or term shall not constitute a waiver of that right or term.

20. Entire Agreement

This Agreement, together with our Privacy Policy and any related supplemental terms, constitutes the entire agreement between you and ModifAI and supersedes all prior and contemporaneous agreements or communications.

21. Amendments to Terms

We reserve the right to update or modify this Agreement at any time. Material changes will be communicated via email or in-app notice. Continued use of the Services following any such update constitutes your acceptance of the revised Agreement.
